Corporate Finance Lawyer - Remote

Our client is seeking a highly skilled Corporate Finance Lawyer to join their dynamic and fully remote legal team. This role is central to advising on complex financial transactions, capital markets activities, and corporate structuring. You will work closely with finance departments, investment bankers, and external counsel to ensure the legal integrity and compliance of all financial operations. • Advise on and structure a wide range of corporate finance transactions, including debt and equity offerings, project finance, and structured finance.
• Draft, review, and negotiate complex finance agreements, loan documentation, and security arrangements.
• Ensure compliance with the Companies Act, King IV recommendations, and financial services regulations.
• Conduct legal due diligence for mergers, acquisitions, and other corporate restructurings involving significant financial elements.
• Manage relationships with external legal counsel, regulators, and financial institutions.
• Provide legal support for treasury functions, capital management, and investor relations.

• Admitted Attorney of the High Court of South Africa with a minimum of 7 years of experience in corporate finance law or capital markets.
• Proven expertise in structuring and executing complex financial transactions.
• Strong understanding of South African corporate law, financial regulations, and securities law.
• Experience with drafting and negotiating loan agreements, ISDA agreements, and other derivative documentation.
• Excellent analytical, negotiation, and communication skills, with a strong ability to manage projects independently in a remote setting.
