Position Summary
The Contract Counsel provides legal guidance and support for contract negotiations, drafting, and compliance, all aimed at safeguarding the organization's interests. The Contract Counsel reviews, drafts, and negotiates contracts related to various legal matters while ensuring compliance with relevant laws and company policies.
Has minimum necessary access to Protected Health Information (PHI) and Personally Identifiable Information (PII) by Job Description/Role.
KeyDuties & Responsibilities
- Review, draft, and negotiate various contracts, including service agreements, vendor contracts, and non‑disclosure agreements.
- Provide legal advice on contractual obligations and risk management.
- Ensure contracts comply with legal standards, company policies, and regulatory requirements.
- Identify and mitigate legal risks in contracts, advising stakeholders on potential legal issues and strategies to minimize liability.
- Work closely with business units to understand their needs, provide legal advice, and support contract negotiations.
- Stay up to date on relevant legal developments, regulations, and best practices related to contract law.
- Advise internal teams on contract terms, rights, obligations, and potential disputes or breaches.
- Conduct legal research and stay current on relevant laws and regulations.
- Collaborate with cross‑functional teams to ensure compliance with contractual terms and internal policies.
- Assist in the development and implementation of contract management processes and templates.
- Identify potential legal issues and propose solutions to mitigate risks.
- Support in resolving disputes related to contracts and provide guidance during negotiations.
- Maintain comprehensive records of contract agreements and related documentation.
- Performs other duties and special projects, as required.
- Juris Doctor (JD) degree from an accredited law school.
- Admitted to practice before a state bar.
- 8+ years of experience in contract law, preferably in a corporate legal environment.
- Strong understanding of contract drafting, negotiations, and compliance.
- Excellent communication and interpersonal skills.
- Ability to work independently and manage multiple priorities in a fast‑paced environment.
- Strong analytical and problem‑solving skills.
- Proficiency with Microsoft Office tools and applications.
- Knowledge of ERISA, employee benefits, and/or Taft‑Hartley plans.
- Experience in the healthcare industry and/or working for a third‑party administrator.
- Prolonged periods of sitting at a desk and working on a computer.
- Must be able to lift 15 pounds at times.
- Remote work is permitted as approved by the Chief Legal Officer.
- The ability to have flexible working arrangements, including remote work options, depending on the needs of the business.
- Occasional travel depends on business requirements.
- Ability and willingness to travel.
