Our client-a growing, sophisticated commercial real estate company-is seeking a Legal Counsel Consultant to support high-level transactions and provide strategic legal guidance. About the Role

This part-time consulting position offers 10-20 hours per week, fully remote, supporting complex real estate transactions, including loan refinancings, acquisitions, dispositions, leasing, entity structuring, and 1031 exchanges. You'll serve as a trusted advisor on sophisticated legal matters-no micromanagement, just high-impact work.

What You'll Work On

✨ Provide legal counsel to guide business decisions and manage legal risk

✨ Prepare, review, and negotiate commercial agreements, including:

- Real estate purchase agreements

- Commercial leases

- Operating agreements

- TIC agreements

- Property management agreements

✨ Lead and coordinate due diligence for property acquisitions

✨ Oversee and manage property closings

✨ Support refinancing efforts-including a current $57 million loan refinance

✨ Handle complicated assignments, entity structures, and waterfall distributions

✨ Work on 1031 exchanges and other tax‑advantaged transaction structures

✨ Resolve disputes with vendors, tenants, and investor/partner groups

✨ Partner with property management & accounting on evictions, defaults, and other legal issues

Requirements

What We're Looking For

✔️ Active NC Bar membership in good standing (required)

✔️ Extensive experience in commercial real estate law

✔️ Background working with lenders + loan documents (refinancing, acquisitions, dispositions)

✔️ Ability to draft and negotiate sophisticated agreements

✔️ Familiarity with complex entity structures, waterfall models, and TIC arrangements

✔️ Strong communication and issue-spotting skills

✔️ Ability to manage independently and operate as a strategic partner

✔️ Experience handling sensitive or high-value matters
