About the Role

Our client is seeking a highly skilled Corporate Attorney to join their fully remote legal team. This role requires expertise in corporate governance, mergers and acquisitions, and general corporate law. You will provide strategic legal advice to the board of directors and management, ensuring compliance with all regulatory requirements and corporate policies. This is an excellent opportunity for an experienced attorney to contribute to significant corporate transactions and strategic initiatives while working from a home office, fostering a culture of excellence and ethical practice.

• Advise on corporate governance matters, board resolutions, and shareholder issues.
• Assist in structuring, negotiating, and closing mergers, acquisitions, and divestitures.
• Draft and review a variety of corporate agreements and transaction documents.
• Ensure compliance with securities laws and stock exchange regulations.
• Manage corporate record-keeping and regulatory filings.
• Provide legal support for capital markets transactions and financing activities.

• Admitted to practice law in South Africa with a minimum of 7 years of experience in corporate law.
• Strong background in M&A, corporate finance, and securities law.
• Excellent drafting, negotiation, and analytical skills.
• Demonstrated ability to manage complex projects and work independently in a remote setting.
