We are seeking experienced Corporate Attorneys to contribute their legal expertise to advanced AI training and evaluation projects focused on corporate law, transactional documents, mergers and acquisitions, securities, governance, and business transactions. In this role, you will apply your professional legal judgment to help improve how next-generation AI systems analyze, interpret, draft, and evaluate complex corporate legal content.
This opportunity is ideal for attorneys with substantial experience in corporate transactions, deal execution, contract negotiation, governance matters, securities compliance, private financings, and commercial legal documentation. You will review legal materials, evaluate AI-generated corporate law content, identify drafting and legal issues, and contribute expert guidance that reflects real-world legal practice.
No prior AI experience is required. Your corporate law expertise is the primary focus.
Key Responsibilities- Review and analyze corporate legal documents, including merger agreements, stock purchase agreements, operating agreements, bylaws, financing documents, and related transactional materials.
- Draft realistic corporate law scenarios, transaction hypotheticals, legal memoranda, and research materials for AI training and evaluation purposes.
- Evaluate AI-generated legal content for accuracy, completeness, clarity, legal reasoning, and consistency with U.S. corporate law principles.
- Identify drafting deficiencies, ambiguities, legal risks, compliance concerns, and transactional issues within legal documents.
- Review transactional structures involving mergers and acquisitions, corporate governance, securities matters, entity formation, and financing transactions.
- Provide detailed written feedback and corrective recommendations to improve legal content quality.
- Apply practical deal experience to assess legal analysis, contractual provisions, and business transaction scenarios.
- Contribute to the development of legal review standards, evaluation frameworks, and quality guidelines.
- Translate complex corporate law concepts into clear and structured explanations suitable for AI training purposes.
- Collaborate remotely with project teams to maintain consistency and quality across legal evaluations.
- Juris Doctor (JD) degree from an accredited U.S. law school.
- Active license to practice law in at least one U.S. jurisdiction and in good standing.
- Strong professional written communication and legal drafting skills.
- Demonstrated experience drafting, reviewing, negotiating, or analyzing transactional and corporate legal documents.
- Strong understanding of U.S. corporate law principles and transactional practice.
- Excellent analytical, critical-thinking, and issue-spotting abilities.
- Ability to identify legal risk, ambiguity, drafting concerns, and practical business implications.
- Experience working independently in a remote environment.
- Ability to provide clear, well-supported legal reasoning and written analysis.
- 3-10+ years of substantive corporate law experience.
- Experience in mergers and acquisitions (M&A), securities law, corporate governance, commercial contracts, private equity, venture financing, or related transactional practice areas.
- Hands-on experience drafting and negotiating purchase agreements, financing documents, governance instruments, and commercial agreements.
- Experience representing clients in both buy-side and sell-side transactions.
- In-house counsel or General Counsel experience.
- Judicial clerkship experience.
- Law review or journal editorial experience.
- Experience mentoring, supervising, or training junior attorneys.
- Familiarity with legal technology, AI-assisted legal workflows, or legal operations initiatives.
- $100-$180/hour
