- Advise on the legal aspects of M&A transactions, including acquisitions, mergers, joint ventures, and divestitures.
- Conduct comprehensive legal due diligence for target companies.
- Draft, review, and negotiate key transaction documents, such as Sale and Purchase Agreements (SPAs), Term Sheets, and Disclosure Letters.
- Manage the legal aspects of deal execution, working closely with internal stakeholders and external counsel.
- Provide legal support for post-merger integration activities.
- Ensure compliance with all relevant Indonesian laws and regulations pertaining to M&A.
- Identify and assess legal risks associated with transactions and develop mitigation strategies.
- Liaise with regulatory bodies as required during the transaction process.
- Manage external counsel engaged in M&A activities.
- Stay abreast of market trends and legal developments in the M&A landscape.
- A Bachelor of Laws (LL.B.) degree from a recognized university.
- A minimum of 6 years of relevant experience in M&A law, gained at a reputable law firm or in-house at a multinational company.
- Demonstrated experience in managing end-to-end M&A transactions.
- Strong understanding of corporate law, securities law, and contract law relevant to M&A.
- Excellent negotiation and drafting skills for transaction agreements.
- Proficiency in conducting legal due diligence.
- Ability to work independently and manage complex projects in a remote setting.
- Exceptional analytical, problem-solving, and critical thinking abilities.
- Fluent in English and Bahasa Indonesia, both written and verbal.
- Experience with regulatory filings and approvals in Indonesia is a plus.
