Senior Commercial Transaction Lawyer

This role, based remotely, is critical for advising on and structuring a wide range of complex commercial transactions, including mergers, acquisitions, joint ventures, and strategic partnerships. The ideal candidate will possess a sharp legal mind, a pragmatic approach to business challenges, and a proven ability to manage intricate deal processes from inception to completion.

• Lead and manage complex commercial transactions, including M&A, divestitures, joint ventures, and strategic alliances.
• Draft, review, and negotiate key transaction documents, such as share purchase agreements, asset purchase agreements, and partnership agreements.
• Conduct comprehensive legal due diligence, identifying risks and developing mitigation strategies.
• Advise executive leadership and business teams on legal aspects of strategic initiatives and corporate restructuring.
• Manage external counsel and coordinate legal support for transactional matters.
• Ensure compliance with all relevant corporate laws, regulations, and securities requirements.
• Provide ongoing legal support to business units post-transaction, including integration planning.
• Develop and refine transaction processes and templates to enhance efficiency and effectiveness.
• Stay abreast of market trends, legal developments, and best practices in corporate transactions.
• Mentor and guide junior legal team members as appropriate.

• Admitted Attorney with a minimum of 8 years of post-qualification experience, with a significant focus on corporate finance and transactional law.
• Demonstrated expertise in structuring, negotiating, and closing complex M&A and joint venture transactions.
• In-depth knowledge of corporate law, securities law, and contract law.
• Exceptional drafting, analytical, and problem-solving skills.
• Proven ability to manage multiple complex projects simultaneously in a demanding, fast-paced environment.
• Excellent communication, negotiation, and interpersonal skills, with the ability to influence stakeholders at all levels.
• Experience working independently and collaboratively in a remote setting.
• Proficiency in legal research databases and standard office productivity software.
• Strong commercial acumen and a practical, business-oriented approach to legal advice.
