Company Secretarial Manager

My professional services client is seeking a senior‑level Company Secretarial Manager with a CGI qualification and strong technical expertise. The role requires the ability to manage a client portfolio independently from the outset. Candidates must have experience using Diligent Entities, a solid understanding of company law and governance, and excellent communication skills for liaising with clients, senior stakeholders, and internal teams.

Key Responsibilities

Manage a portfolio of clients while supporting company secretarial and governance activities, including in corporations, board and shareholder meetings, statutory record maintenance, and HMRC Stamp Duty matters.
Lead and support complex corporate reorganisations such as demergers, share transfers, buybacks, and capital restructures.
Assist with workflow management, train junior staff, and work closely with senior management.
Ensure compliance with evolving legal and regulatory requirements while delivering multiple projects to tight deadlines.

Hybrid Working

This role offers hybrid working, with 2 days per week in the office and 3 days working from home.
