Job OverviewAs Senior Counsel for Products & Platform you will advise, counsel, and support the provision of technology products and platforms to EY clients. The focus will be on drafting, updating, and negotiating client‑facing software license and SaaS agreements, as well as providing internal advice to EY technology and product teams from ideation through go‑to‑market.
Key Responsibilities- Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk.
- Collaborate closely with US GCO members and local counsel in other EY member firms.
- Work with IP and procurement counsel on the development and commercialization of products and platforms.
- Coordinate with cross‑functional support teams (Data Privacy, Information Security, Independence, Quality and Tax) as needed.
- Help enhance EY policies and guidance related to technology products and platforms.
- Support internal product teams in developing new products and platforms.
- Gain a working knowledge of the tools, products and platforms to provide effective counsel.
- Manage workflow in a dynamic environment, maintaining responsiveness, reliability, communication and accountability to leadership.
- Provide practicable legal advice to product teams and business stakeholders.
- Build relationships and teamwork within GCO and other Legal Practice Groups.
- Develop and deliver training and knowledge sharing on product agreements across the legal network.
- Continual learning, contribution and innovation in a dynamic space.
- 7+ years of technology‑related transactional experience in a client‑facing capacity.
- Strong background supporting SaaS, software licenses, emerging technologies, and go‑to‑market delivery models.
- Experience developing contracting templates, playbooks and standards.
- Proficiency with legal and collaboration tools to optimize teaming.
- Experience in data privacy, data security, licensing and intellectual property law.
- Cross‑border contracting experience.
- Ability to understand, assess and negotiate terms for current and new technologies (cloud, AI), explaining legal and commercial risks.
- Excellent oral and written communication skills.
- Strong negotiation and interpersonal skills.
- High cultural and emotional intelligence, resilience and adaptability.
- Ability to work independently and across functions and geographies.
- Strong documentation and risk assessment skills from both legal and commercial perspectives.
- Highly responsive with the capacity to handle high workload volumes and competing priorities.
- Solution oriented with focus on exceptional client service.
- Experience in a product counsel role in a technology or consulting organization.
- Bachelor’s degree from an accredited 4‑year college.
- Juris Doctor from an accredited law school.
- State bar membership as an attorney qualified to practice law.
- Good standing with applicable State Bar, including current continuing legal education.

Base salary range varies by location: $177,800 – $332,400 in the US; adjusted ranges for major metro areas. Compensation is determined by experience, education, and geography.
