Senior Counsel – Products and Platforms

In this role, you will provide legal advice, counsel and support related to technology products and platforms. Specific focus areas include: drafting, negotiating and updating client‑facing software licenses, SaaS agreements, artificial intelligence, big data, analytics, cloud computing, and advising EY technology and product teams from ideation, innovation, and go‑to‑market.
YourKey Responsibilities
- Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk while staying up to date with relevant legal developments.
- Collaborate closely with US GCO members, local counsel in other EY member firms, intellectual property counsel, and procurement counsel.
- Support coordination with cross‑functional business and internal support teams (Data Privacy, Information Security, Independence, Quality and Tax) as necessary.
- Understand existing EY policies and help enhance policies and guidance relevant to technology products and platforms.
- Advise internal product teams in the development of new products and platforms.
- Gain a working understanding of the full range of tools, products and platforms required to be supported to provide effective product counsel.
- Manage workflow in a highly dynamic environment, remaining responsive, reliable, communicative and accountable to team leadership and other GCO members.
- Provide practicable legal advice to internal product teams and business stakeholders in cross‑functional settings.
- Build relationships and team seamlessly with other GCO members across the Legal Practice Groups.
- Develop and deliver training on product and platform agreements, knowledge sharing and best practice across the legal network and business.
- Continuously learn, contribute and innovate in a dynamic space.
- Seven (7) or more years of technology‑related transactional experience in a client‑facing capacity, including drafting and negotiation of product and platform agreements.
- Strong background supporting SaaS, software licenses, emerging technologies and a variety of go‑to‑market delivery models.
- Experience developing contracting templates, playbooks and standards.
- Adept at leveraging legal and other collaboration tools to optimize teamwork.
- Experience in data privacy, data security, licensing and intellectual property law.
Experience with cross‑border contracting (including local country agreements and cross‑border data transfer). - Ability to understand, assess and negotiate terms for current and new technologies (including cloud and AI) and explain related legal and business risks practically.
- Excellent communication, negotiation and interpersonal skills.
- High degree of cultural and emotional intelligence, resilience, flexibility.
- Ability to work independently and team effectively across functions and geographic locations.
- Strong ability to articulate complex legal and contractual principles and balance risk from legal and commercial perspectives.
- Highly responsive with ability to manage high workload volumes and competing priorities efficiently.
- Solution‑oriented with focus on exceptional client service.
- Experience in a product counsel role in a technology or consulting organization, leading negotiations.
- Bachelor’s degree from an accredited 4‑year college.
- Juris Doctor from an accredited law school.
- Membership in a State Bar as an attorney qualified to practice law.
- Good standing with the applicable State Bar including current continuing legal education.
