We currently have an exciting career opportunity for a Associate Counsel Attorney specializing in licensing and technology to join one of our Cohn Reznick offices. Cohn Reznick is a hybrid firm where most of our professionals are located within a commutable distance to one of our offices. This position is considered hybrid which means team members are expected to be thoughtful and intentional in how they create opportunities for in-person collaboration.
While the cadence of in-office presence is determined at the team level, our professionals are encouraged to be in the office/together in person on average 3 days a week. Periodic travel (a day or two monthly and then less frequently) to our Parsippany, NJ location for training, knowledge and relationship building.

YourRole
Responsibilities include but not limited to:
- Review and negotiate varied client and vendor agreements to identify risk considerations and exposures.
- Drafting/negotiating cyber and technology agreements, including enterprise technology agreements and those for client services (software agreements, licensing/sub-licensing, partner/reseller, SaaS, subscription, data privacy and security agreements, and other technology-related contracts).
- Interface with and support Partners and employees as well as clients, vendors and third parties.
- Balance legal considerations with practical business needs; exhibit critical thinking and strong problem solving skills.
- Ability to handle a limited number of copyright and trademark issues (a plus).
- Assist with confidentiality, data privacy and security issues including responding to vendor questionnaires and reviewing and negotiating data access/sharing agreements and data protection agreements.
The successful candidate will have:
- 5-12 years of relevant experience preferred.
- Law firm experience preferred.
- Professional service firm experience supporting client-service teams.
- Juris doctor degree with active license to practice required.
- Ability to navigate and advise on complex legal issues with straightforward, practical analysis and advice.
- Exceptional advocacy, negotiation, presentation and interpersonal skills.
- Ability to work closely and collaboratively with our businesses and Legal team.
- Highly organized, self-motivated and self-directed; able to work efficiently with varying supervision and manage projects with competing deadlines in a dynamic environment.
- Tech-savvy; stay current on emerging technology and its impact on businesses.
