We are seeking a highly motivated and skilled attorney to join a Corporate & Transactional Practice Group. The ideal candidate will play a key role in advising clients and executing a wide range of corporate matters, with meaningful responsibility and direct client interaction.
Key Responsibilities:- Draft, review, and negotiate definitive and ancillary transaction documents for mergers and acquisitions, joint ventures, and other complex corporate transactions
- Manageandcoordinateallaspectsofduediligenceprocesses,includingreviewing,analyzing,andsummarizingfindings
- Adviseclientsonabroadrangeofcorporatematters,including:
Financings(debtandequity),Entityformationandstructuring,Corporategovernanceandcompliance,Commercialandstrategicagreements - Workcloselywithpartnersandclientsthroughoutthefulllifecycleoftransactions,fromstructuringthroughclosingandpost-closingmatters
- JD and active bar admission in AZ
- At least 3 years of corporate transaction experience
