We're Hiring:
Experienced Corporate Markets Attorney
Pittsburgh, PA | Full-Time

Salary will be based on the candidate's experience and other job-related factors, in accordance with applicable law.

The right candidate will bring deep experience in private securities offerings and entity governance and will have the ability to lead sophisticated transactional matters.

What We're Looking For:
We're seeking an experienced Corporate Markets Attorney with a strong background representing issuers and investors in private capital markets. You'll be working closely with clients to structure complex transactions, advise on equity matters, and draft critical governance documents.


• Must-Have Qualifications:

• Active Pennsylvania Bar license
• 8+ years of legal experience in:
  • Private securities offerings and capital raising transactions
  • Drafting and negotiating LLC agreements, partnership agreements, stockholder agreements, articles of incorporation, and certificates of designation, including common and preferred equity provisions
  • Experience with equity-based employee compensation plans, including drafting equity incentive plans and awards
  • Excellent written and verbal communication skills
  • Ability to maintain and grow client relationships and manage complex matters independently
  • Proven ability to contribute to business development and client retention

Salary commensurate with candidate experience and other job-related factors permitted by law.
