Corporate Paralegal

Our client, a leading international conglomerate, known for its innovative approach and global presence, is hiring a Corporate Paralegal to join their dynamic legal team. This vital role offers an exciting opportunity for a highly skilled professional to contribute to the governance, compliance, and administrative operations of a diverse international corporate structure.

Responsibilities
  • Manage and support the administration of global subsidiaries, including document management, preparation, and uploads.
  • Collect signatures for key corporate documents such as Board Resolutions, Annual Reports, Meeting Minutes, and Secretary’s Certificates, ensuring timely processing and compliance.
  • Oversee document upload procedures to platforms like CSC Navigator or similar entity management systems.
  • Handle notarization, apostille, translation processing, and signature collection activities efficiently.
  • Maintain accurate databases, electronic minute books, and trackers of corporate records and entity information.
  • Update and verify lists of directors and officers across subsidiaries and maintain other internal and external corporate records.
  • Support the legal department’s transactions and ongoing operations by preparing compliance documents in accordance with federal, state, and local regulations.
  • Track and calendar deadlines for filings, renewals, and regulatory requirements.
  • Assist in M&A transactions, including preparation of related documentation.
  • Generate ad hoc reports and respond promptly to inquiries regarding corporate information.
Requirements
  • Minimum of 4 years of corporate paralegal experience, preferably within an in‑house corporate environment.
  • Proven expertise in domestic and international compliance, corporate governance, entity formation, dissolution, and mergers.
  • Strong organizational, administrative, and communication skills with a keen eye for detail.
  • Ability to prioritize tasks, meet deadlines, and manage multiple projects simultaneously.
  • Proficiency with Microsoft Office Suite (Word, Excel, PowerPoint), Google Workspace (Gmail, Drive, Sheets), Adobe tools, CSC Navigator or comparable entity management platforms, Docu Sign, and Adobe Sign.
  • Notary Public certification is required.
  • Demonstrated commitment to ethics, confidentiality, and professional responsibility.
