The opportunity

As Counsel for Technology and Managed Services, you will provide advice, counsel, and legal support regarding the provision of managed services and other technology services and products to EY clients. You will advise, draft, update, and negotiate client‑facing complex, multi‑year managed services, outsourcing, systems implementation, application development & maintenance, software licenses, software‑as‑a‑service agreements, artificial intelligence, big data, analytics, and cloud computing agreements.

Key Responsibilities
  • Draft, update, and negotiate client‑facing Technology & Managed Services Agreements, including advising on contractual strategy and risk.
  • Advise on key legal risks associated with the technology underpinning Managed Services Agreements.
  • Collaborate closely with other members of the US GCO and local counsel in other EY member firms.
  • Coordinate legal resources on managed services projects.
  • Support coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax).
  • Advise on the accuracy and sufficiency of contractual documentation to protect EY interests.
  • Understand existing EY policies and develop/enhance policies and guidance relevant to managed services and other technology services and products.
  • Manage workflow in a highly dynamic environment and remain responsive, reliable, communicative, and accountable to team leadership.
  • Build relationships and team seamlessly with other members of GCO, within the Legal Practice Groups, to deliver exceptional service to clients of GCO.
  • Develop and deliver training on Technology & Managed Services Agreements and best practice across the legal network.
To qualify, candidates must have
  • 4+ years of relevant complex services and technology‑related transactional experience in a client‑facing capacity.
  • Experience drafting and negotiating Technology & Managed Services Agreements.
  • Experience developing contracting templates, playbooks, and standards.
  • Experience in data privacy, intellectual property law, and the use and provision of technology in the context of Technology & Managed Services Agreements.
  • Experience with cross‑border contracting.
  • Ability to understand, assess, and negotiate terms for current and new technologies (cloud, AI). Explain related legal and business risks.
  • Excellent communication, negotiation, and interpersonal skills.
  • High degree of cultural and emotional intelligence, resilience, flexibility, and adaptability.
  • Ability to work independently and team effectively with colleagues in other functions and geographic locations.
  • Ability to understand and articulate complex legal and contractual principles and balance risk from both legal and commercial perspectives.
  • Highly responsive with ability to manage high workload volumes and competing priorities efficiently.
  • Solution‑oriented with focus on exceptional client service.
  • Experience in a managed services counsel role in a technology or consulting organization with leading negotiations.
  • Bachelor’s degree from an accredited 4‑year college.
  • Juris Doctor from an accredited law school.
  • Membership in a State Bar as an attorney qualified to practice law.
  • Good standing with the applicable State Bar and current on Continuing Legal Education requirements.
