In-House Corporate Counsel - Rhode Island - Onsite
Our client is seeking an In-House Corporate Counsel to support a high-volume, transaction-driven legal function with a focus on corporate, commercial, financing, and real estate matters. Reporting directly to the General Counsel, this role is highly visible and integral to executing complex, multi-entity transactions and maintaining strong corporate compliance practices.
This position is ideal for an attorney who enjoys managing deals from start to finish, coordinating with multiple stakeholders, and operating in a fast-paced, detail-oriented environment.
ResponsibilitiesTransactional & Closing Support
- Own the setup, organization, and maintenance of data rooms for debt and equity financings, M&A, and commercial real estate transactions
- Coordinate transaction closings, track deliverables, manage timelines, and proactively resolve issues
- Serve as the primary liaison between internal teams, external counsel, lenders, counter parties, and capital partners
Drafting, Review & Negotiation
- Independently draft, review, and negotiate a wide range of legal documents, including commercial loan and security agreements, M&A and asset/equity purchase documents, real estate acquisition, disposition, lease, and title-related documents, construction contracts, MSAs, service and supply agreements, entity governance documents, consents, resolutions, NDAs, and employment agreements
- Prepare internal legal memoranda and in-house legal opinions
Corporate Governance & Compliance
- Manage corporate records and databases for 100+ entities
- Prepare and file Secretary of State annual reports and other regulatory filings
- Handle entity formations, EIN applications, and land evidence recordings
- Track compliance, reporting, and contract deadlines across multiple jurisdictions
Capital Partner & Contract Management
- Maintain capital partner reporting data rooms and compliance calendars
- Translate contractual obligations into actionable payment and reporting schedules
- Coordinate internal approvals and execution of agreements
- Maintain organized, audit-ready legal repositories and organizational charts
Cross-Functional Collaboration
- Partner closely with finance, accounting, project teams, executives, and external advisors
- Support internal and external litigation counsel with strategy and discovery when needed
- Juris Doctor (JD)
- 3+ years of law firm experience in corporate law, commercial transactions, financing, M&A, and/or commercial real estate
This is an excellent opportunity to work directly with the General Counsel and gain hands‑on exposure to complex, sophisticated transactions. The compensation range for this position is approximately $120,000‑$200,000.
