Department Profile

Executive Financial Services (“EFS”) supports transactions involving restricted or control stock, including Rule 144 dealings. EFS conducts due diligence, negotiates 10b5‑1 contracts, and facilitates SEC filings and settlements.

Position Summary

EFS Business Solutions Representatives work with Executive Relationship Managers and other teams to complete regulatory filings on behalf of issuer affiliates, using platforms such as Share works, Solium Capital, and E
* TRADE. This role supports white‑glove service for clients.

Responsibilities
  • Assist Executive Relationship Managers with inquiries regarding due diligence policies and procedures.
  • Maintain knowledge of Rule 144, Section 16, restricted securities, SEC EDGAR, and Morgan Stanley’s trading policies.
  • Undergo a thorough understanding of corporate equity plans and security transactions such as stock option exercises and restricted stock vesting.
  • Identify process enhancement opportunities and collaborate with internal partners.
  • Maintain accurate records of actionable items and completed filings.
  • Ensure strict adherence to established processes to guarantee compliance and audit requirements.
  • Build familiarity with departmental processes to complete tasks independently.
Qualifications
  • Familiarity with SEC Rule 144 is strongly preferred.
  • Strong oral and written communication skills.
  • Excellent time management, prioritization, and multi‑tasking.
  • Current SIE/Series 7 and 63 licenses preferred, not required.
  • A bachelor’s degree or equivalent experience in a related field preferred.
  • Proficiency with Microsoft Excel and PowerPoint.
  • Quick learner with accountability and ownership sense.
  • Exceptional critical thinking, problem‑solving, and strong attention to detail.
  • Comfortable with evolving processes, systems, and environments.
  • Ability to work in a fast‑paced environment with high volumes.
  • Comfort with learning new technology.
  • Understanding of equity compensation or finance background is a plus.
