Position Overview

We are seeking an experienced In-House Legal Counsel with 5-10+ years of legal experience in corporate transactions. The ideal candidate will have a strong background in mergers and acquisitions, joint ventures, strategic investments, and corporate governance.

Key Responsibilities

• Draft, review, and negotiate agreements for reinsurance, debt transactions, M&A, joint ventures, and other corporate matters
• Advise on subsidiary corporate governance
• Engage and manage outside counsel for specialized matters
• Lead and coordinate legal due diligence processes
• Collaborate with leadership teams to ensure alignment on transaction structure and execution
• Ensure compliance with federal and state laws, securities regulations, and internal policies
• Drive project management for complex transactions and cross-functional initiatives

Qualifications

• Juris Doctor (JD) from an accredited law school; active license to practice law in at least one U.S. jurisdiction
• 5-10 years of experience in corporate transactions, including M&A and related areas
• Prior experience at a reputable law firm and/or in-house legal department of a U.S. company
• Excellent drafting and negotiation skills
• Strong judgment and ability to balance legal risk with business objectives
• Ability to manage multiple projects in a fast-paced environment
