Position Summary

Position Summary: The Paralegal will be responsible for transactional and corporate legal work and support, with additional duties involving corporate compliance and some litigation. This position will report to, and support, the Chief Legal Officer by preparing documents and collateral elements, most of which relates to Point One’s primary business of data center development. To be successful in this role, you will need to be hardworking, flexible, team-oriented, have a merit‑based mindset, curious and hungry for learning, willing to step up and pitch in and help the team.

You need to be very proficient with all Microsoft Office applications, especially Word and Excel, as well as Teams. Experience with legal project management systems is a bonus. You will also need to be able to multitask effectively and possess a high level of poise. This role may take on several different duties and responsibilities, based on the company’s needs and requirements.

Responsibilities
  • Draft, negotiate, revise, and bring to conclusion/execution a whole host of types of transaction agreements and collateral documents.
  • The focus is 95% contracts and other business transactions, and corporate law. Very little (but occasionally some) litigation, and you must be able to assist with litigation when it does come.
  • Legal documents will include, but will not be limited to, NDAs, statements of work, master services agreements, data center leases, letters of intent, term sheets, LLC operating agreements, shareholder agreements, contribution agreements, PSAs (purchase and sale agreements), DMAs (development management agreements), large transaction checklists, joint venture agreements, employment offer letters, employment agreements, release agreements, settlement agreements, deeds, titles, and untold numbers of other types of transactional agreements and collateral documents.
  • The more complicated the transaction/document, or the higher dollar volume involved, or the greater the other risk factors involved, the more likely the CLO will lead the effort, and you will provide support; the counter is also true. Of course, this will change over time, as you prove yourself ready to take on more responsibility.
  • You will be expected to assist in researching, identifying, culling, legal project management systems/portals/software, as 2026.
  • Analyze records and make recommendations to the CLO as to the disposition of files.
  • Perform legal research including statutory and case law and draft forms, research memoranda, proposed rules, orders and other documents.
  • Perform a number of other similar or related duties which may not be specifically included within this position description, but which are consistent with the general level of the job and the responsibilities described.
  • Provide administrative and research support for the CLO and compliance professionals managing regulatory filings or policy documentation.
  • Reviewing supplier or service agreements, managing contract databases, and ensuring documentation is up to date.
Qualifications
  • Minimum 3 years of Paralegal experience in relevant areas, including real estate, contracts, transactions.
  • Excellent written and oral communication skills.
  • Proficient knowledge in MS Office 365.
  • Excellent multitasking skills and ability to prioritize tasks.
  • Strong planning and organizational skills.
  • Exceptional attention to detail.
Education

A degree or diploma from an accredited Paralegal program, or a related field, or a combination of post‑secondary education and relevant work experience.
