The OpportunityA Counsel for Technology and Managed Services will advise on the provision of managed services and other technology services and products to EY clients. Focus on advising, drafting, updating, and negotiating the legal terms and conditions of client‑facing, multi‑year managed services, outsourcing, system implementation, application development & maintenance, software licenses and SaaS agreements, AI, big data, analytics, cloud computing. Provide legal advice & support to technology & product teams.
YourKey Responsibilities
- Draft, update, and negotiate client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk.
- Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
- Collaborating closely with other members of the US GCO as well as local counsel in other EY member firms.
- Coordination of legal resources on managed services projects.
- Support coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax).
- Advising on the accuracy and sufficiency of contractual documentation.
- Understanding existing EY policies and developing/enhancing policies and guidance.
- Managing workflow in a dynamic environment, remaining responsive, reliable, communicative, and accountable.
- Building relationships with GCO and Legal Practice Groups.
- Developing and delivering training on Technology & Managed Services Agreements.
- 4+ years of complex services and technology‑related transactional experience in a client‑facing capacity.
- Experience drafting and negotiating Technology & Managed Services Agreements.
- Experience developing contracting templates, playbooks and standards.
- Experience in data privacy, intellectual property law and technology in the context of Technology & Managed Services Agreements.
- Experience with cross‑border contracting.
- Ability to understand, assess, and negotiate terms for current and new technologies.
- Excellent communication, negotiation and interpersonal skills.
- High degree of cultural and emotional intelligence, resilience, flexibility.
- Ability to work independently and team effectively across functions and locations.
- Strong commercial and legal risk assessment.
- Highly responsive to high workload volume.
- Solution oriented with focus on client service.
- Experience in a managed services counsel role in a technology or consulting organization.
- Bachelor’s degree from an accredited 4‑year college.
- Juris Doctor from an accredited law school.
- Membership in a State Bar.
- Good standing with the State Bar.
