General Description
The Corporate and Real Estate Paralegal supports the Legal Department in managing real estate development, financing, and corporate transactions. This position plays a key role in project coordination, document drafting, and due diligence across all stages of development projects. The ideal candidate will have strong project management skills, experience working with title and survey matters, and the ability to collaborate effectively with internal teams, lenders, title companies, and outside counsel.

- Coordinate and manage all aspects of real estate closings, acquisitions, and financings from inception through completion.
- Review and organize due diligence materials, including title commitments, surveys, organizational documents, and zoning reports.
- Coordinate with title companies, surveyors, lenders, and internal development teams to ensure timely and accurate delivery of closing materials.
- Identify and track title and survey issues; assist counsel in preparing and obtaining necessary curative documents.
- Draft and review closing documents, affidavits, resolutions, and other transaction-related materials under supervision of counsel.
- Maintain detailed closing checklists, track key project milestones, and ensure post-closing documentation is completed and archived.
- Assist in drafting, reviewing, and editing design and construction contracts using AIA Contract Documents software.
- Coordinate execution of contracts and track insurance certificates, bonds, and other required documentation.
- Maintain project documentation and assist with reporting on contract status and deliverables.
- Compile lender-required due diligence materials, coordinate document review and execution, and maintain closing schedules.
- Assist with preparation and delivery of post-closing binders and closing summaries.
- Assist in entity formation, dissolutions, and maintenance of annual filings.
- Draft resolutions, certificates, and related documents for transactions.
- Maintain organizational binders and corporate records as needed.
- Serve as a central liaison between Legal, Finance, Development, and external partners to ensure smooth transaction flow.
- Track deadlines, deliverables, and approvals related to closings and development projects.
- Implement and maintain checklists, databases, and project tracking tools to support departmental efficiency.
- Conduct legal and factual research as requested.
- Coordinate signatures, notarizations, and document filings.
- Manage and organize digital legal files and contract repositories.
- Perform additional duties as assigned to support departmental goals.
- Strong project management and organizational skills, with the ability to manage multiple concurrent transactions.
- Excellent written and verbal communication skills.
- Detail-oriented with the ability to anticipate needs and resolve issues proactively.
- Professional judgment, discretion, and ability to manage confidential information.
- Strong teamwork and interpersonal skills, with the ability to collaborate effectively across departments.
- Minimum 3–6 years of relevant paralegal experience in real estate development, transactions, or finance within a law firm or in-house legal department.
- Experience with title and survey review, coordination with title companies, and management of real estate closings required.
- Proficiency with AIA Contract Documents software preferred.
- Strong proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and document management systems.
- Associate degree or Paralegal Certificate (or equivalent work experience in a law firm or in-house legal department).
- Must be or become a Notary Public.
- Paralegal certification or equivalent experience
- 3–6 years of experience in real estate transactions, leases, or property management legal support
