Insero Talent Solutions is thrilled to partner with a dynamic and growing law firm in Rochester, NY, in search of a Senior Corporate Associate Attorney.
This attorney will play a key role in advising middle-market and sophisticated private clients on a wide range of complex corporate and transactional matters. The ideal candidate is a seasoned corporate associate who can independently manage transactions, serve as a trusted advisor to clients, and work closely with partners and cross-practice teams on strategic initiatives.

Responsibilities- Lead and support complex mergers and acquisitions, divestitures, reorganizations, and other strategic corporate transactions.
- Draft, review, and negotiate a broad array of transactional and commercial agreements, including purchase agreements, operating agreements, shareholder agreements, employment and equity arrangements, and related ancillary documents.
- Advise clients on corporate governance matters, entity formation, capitalization structures, fiduciary duties, and ongoing compliance considerations.
- Serve as day-to-day counsel for closely held businesses, investors, and management teams across various industries.
- Collaborate closely with partners and colleagues across practice groups to deliver comprehensive, business-focused legal solutions.
- Provide thoughtful issue-spotting, risk analysis, and pragmatic guidance tailored to client objectives.
- Mentor junior associates and contribute to the continued growth and development of the corporate practice.
- J.D. from an accredited law school and admission to practice in New York State.
- 8+ years of corporate and transactional experience within a law firm environment.
- Strong background in mergers and acquisitions, general corporate matters, governance, and commercial transactions.
- Ability to manage transactions and client relationships with a high degree of independence and professionalism.
- Exceptional drafting, negotiation, communication, and interpersonal skills.
- Proven ability to balance multiple matters in a fast-paced, client-driven practice.
- Experience with private equity, venture capital, or complex financing transactions is a plus.
