Overview

The Contracts Specialist drafts, negotiates and maintains technology-related agreements and supports contract best practices across the organization.

  • Draft, negotiate and maintain technology-related contracts, purchasing agreements, Master Service Agreements, Security and Data Protection Agreements, and SOW’s.

  • Advise teams on legal risks, business considerations, and commercial agreement issues.

  • Interpret and amend materials for all Enterprise brands and divisions.

  • Strong contract drafting and document‑management skills.
  • Ability to negotiate core terms with suppliers.
  • Experience with contract‑management tools (Coupa preferred).
  • Understanding of legal and business factors in commercial agreements.

This position is located at our Corporate Headquarters in Clayton, Missouri. This position is eligible for a hybrid work schedule.

Responsibilities
  • Structure, negotiate, administer, analyze, and maintain contracts
  • Respond to complex inquiries regarding contract obligations, modifications, and revisions
  • Review and manage contractual obligations of the parties and provides continuous review to ensure that all terms and conditions are met
  • Prepare and disseminate information regarding contract status, compliance, modifications, renewals, pointed summaries for legal department requests and inquiries, etc.
  • Identify business risks associated with contractual commitments and collects and organizes information in support of business risk assessments
  • Responsible for consultation and escalation to leadership, of contractual, business or contract management positioning issues
  • Acts as the primary contact between the project team and/or business unit and Legal, ensuring that all legal and contractual matters are addressed efficiently and promptly
  • Responsible for informing the project team of the requirements of the contract and monitoring compliance
  • Develop and keep contract management tools, templates, methods, and processes
  • Develop and provide contract training as needed
  • Achieve a reasonable level of understanding of major business areas in order to communicate effectively with project team and provide relevant advice
  • Responsible for implementation of contract management best practices, processes, and assure consistency across all contracts
  • Attend team and group meetings and attend/complete required training

Qualifications
  • Bachelor’s Degree
  • Two (2+) years of relevant experience drafting and negotiating commercial contracts, including purchasing agreements, Master Service Agreements, Security and Data Protection Agreements, and SOW’s
  • Must be authorized to work in the United States and not require work authorization sponsorship by our company for this position now or in the future
Preferred
  • Experience with IT contracts (Software License Agreements, SaaS Agreements, etc.)
  • Experience with contract lifecycle management software
  • Strong ability to prepare contractual terms and conditions as well as contract summaries for stakeholders
  • Knowledge of legal language
