Responsibilities

• Own the end-to-end administration of governance activities for multiple fund Boards, including planning recurring meetings, organizing special sessions, and maintaining an integrated governance calendar.
• Assemble, review, and circulate Director materials that synthesize investment results, regulatory disclosures, compliance matters, risk topics, audit findings, and valuation considerations in advance of meetings.
• Ensure all Board actions are properly documented by drafting, finalizing, and archiving meeting minutes, written consents, resolutions, and related governance records in accordance with regulatory expectations.
• Serve as the central coordination point between Directors and internal stakeholders—including Legal, Compliance, Finance, and Investor Relations—to confirm accuracy, consistency, and regulatory alignment of all Board-facing content.
• Maintain ongoing relationships with Independent Directors, external legal advisors, auditors, and other third parties on matters related to Board operations and governance requirements.
• Design, document, and continuously improve standard operating procedures supporting Board and entity governance processes.
• Oversee the establishment, qualification, and ongoing maintenance of fund entities and subsidiaries across relevant jurisdictions, including stewardship of constitutional and governing documents.
