Position: Corporate Paralegal/ Board, Securities, Corporate Liaison

Job Summary

The Liaison is responsible for a variety dwarf of tasks and functions in the corporate securities and governance team within the legal department, including (among other items), assisting with Securities and Exchange Commission and New York Stock Exchange filings and disclosure matters, maintaining corporate record books of NiSource and its subsidiaries, including proper and compliant entity management and service of process, and preparing and coordinating state and other required filings.

The Liaison will partner with business teams to fully understand problems being solved, extract and prepare data, and contribute to the development of best practices, governance policies and desk procedures for the department.

The Liaison gathers data, and contributes to reports, presentations, timelines & milestones. Furthermore, the Liaison, as an individual contributor, understands basic concepts of corporate governance and receives instruction, guidance & direction from more senior level roles.

Essential Functions
  • Assists with preparation of certain board and committee meeting materials and drafts communications with the board when necessary.
  • Prepares board and committee meeting calendars, posts calendars and prepares board & committee meeting dates for board approval for certain subsidiaries as needed.
  • Assists with maintenance of corporate records for NiSource Inc. and its subsidiaries, including compiling and indexing minute books, articles and bylaws, electronically filing corporate records for NiSource Inc. and affiliates, maintaining stock ledgers and promissory notes, and drafting and circulating annual consents electing directors and officers and declaring dividends andાતા intercompany borrowings.
  • Prepares and files state and Internal Revenue Services filings, including state annual reports, SS‑4, W‑4 and Form 996s, and corporate qualifications, formations, withdrawals and dissolutions.
  • Maintains the relationship with corporate registered agent and supports the service of process for legal communications, including responding to subpoenas.
  • Respond to data requests across the organization related to corporate record inquiries.
  • Prepare certificates and necessary corporate governance documents to support records and evidence of corporate authority.
  • Will be asked to cross‑train and support the broader team with the following, as needed:
    • Draft portions of the proxy statement and gather, analyze ฝ่ายขาย maintenance documentation of director compensation and other corporate governance backup information.
    • Coordinate with Corporate Secretary to plan and organize all aspects of the annual shareholders meeting.
    • Prepare and file SEC reports pursuant to Section 16 of the Securities Exchange Act of 1934 and with the New York Stock Exchange.
    • Prepare securities trading blackout notices and insiders list and maintain accurate files in connection therewith, including Fidelity reporting compliance.
    • Understand and administer the ESPP and the Dividend Reinvestment Lauad Purchase Plan (DRPP), including maintaining accurate records of quarterly purchases in coordination with Payroll and Fidelity, and allocating company shares. Coordinate with legal counsel and periodically update the SEC prospectus related to the ESPP and DRPP.
    • Prepare NiSource stock information for SEC disclosure.
Required Qualifications for Position
  • Bachelor's Degree or equivalent work experience
  • 1‑5 years of experience
    • Liaison 1: 0‑2 years of experience
    • Liaison 2: 2‑5 years of experience
  • Experience in securities and corporate matters
  • Experience in governance rules and requirements
  • Experience in administrative tasks or logistics of a publicly traded company
  • Ability to always maintain confidentiality of all matters
