Senior Counsel – Products and Platforms

Our General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY’s service lines and business enablement functions.

The opportunity

As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will be responsible for providing advice, counsel, and legal support in respect of the provision of technology products and platforms to EY clients. The focus is on advising, drafting, updating and negotiating the legal terms and conditions of client‑facing software licenses and SaaS agreements;

artificial intelligence, big data, analytics, cloud computing. You will also provide internal legal advice and support to various EY technology and product teams from ideation through go‑to‑market.

You will be part of EY’s Technology and Managed Services legal group, work closely with other GCO groups in the United States and in other jurisdictions. The work is complex, often urgent, high in volume, and requires experience advising in a supplier‑side technology transactional legal role. The role requires a background in SaaS, current market knowledge of new technologies, and a superior ability to manage multiple competing priorities in a compressed timeframe and to interact with senior members of the organization.

Key Responsibilities
  • Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk.
  • Collaborate closely with other members of the US GCO and local counsel in other EY member firms.
  • Collaborate closely with intellectual property counsel and procurement counsel on the development and commercialization of products and platforms.
  • Support coordination with cross‑functional business and internal support teams (Data Privacy, Information Security, Independence, Quality and Tax) as necessary.
  • Understand existing EY policies and help enhance policies and guidance relevant to technology products and platforms.
  • Support and advise internal product teams in the development of new products and platforms.
  • Gain a working understanding of the full range of tools, products and platforms required to be supported.
  • Manage workflow in a dynamic environment, remaining responsive, reliable, communicative and accountable.
  • Provide practicable legal advice to internal product teams and business stakeholders.
  • Build relationships and team seamlessly with other members of GCO to deliver exceptional legal service.
  • Develop and deliver training on product and platform agreements, knowledge sharing and best practice across the legal network and business.
  • Continuously learn, contribute and innovate in a dynamic space.
To qualify, candidates must have
  • 7+ years of relevant technology‑related transactional experience in a client‑facing capacity.
  • Strong background in SaaS, software licenses, emerging technologies and go‑to‑market delivery models.
  • Experience developing contracting templates, playbooks and standards.
  • Adept at leveraging legal and other collaboration tools and technology to optimize teamwork.
  • Experience in data privacy, data security, licensing and intellectual property law.
  • Experience with cross‑border contracting.
  • Ability to understand, assess and negotiate terms for current and new technologies (cloud, AI) and explain related risks.
  • Excellent communication, negotiation and interpersonal skills.
  • High degree of cultural and emotional intelligence, resilience, and adaptability.
  • Ability to work independently and team with colleagues in other functions and locations.
  • Demonstrated ability to articulate complex legal principles and balance risk from both legal and commercial perspectives.
  • Highly responsive with the ability to manage high workload volumes and competing priorities efficiently.
