San Francisco - Tax - Midlevel Associate
Morgan Lewis, one of the world’s leading international law firms, seeks to hire a highly qualified midlevel associate with law firm experience and excellent academic credentials to join our tax practice in the San Francisco office on a full‑time basis. This position may also be resident in Silicon Valley.
Job DescriptionWe are seeking a highly qualified transactional midlevel associate with three to six years of law firm experience to represent public and private companies, private funds, portfolio companies, and alternative investment vehicles in the tax aspects of fund formations, limited partner investments, mergers and acquisitions, and other similar transactional tax matters. The successful applicant must also possess strong deal management, drafting, communication, negotiation and analytical skills.
Responsibilities- Represent clients in complex transactional tax matters, including fund formations, LP investments, M&A and related tax issues.
- Draft, negotiate and advise on tax documents and agreements, ensuring they align with overall client objectives.
- Analyze how specific agreements fit within the broader landscape of client transactions and provide strategic counsel.
- Communicate effectively with clients, partners, and supporting staff; coordinate work and manage independent activities.
- Three to six years of law firm experience in transactional tax.
- Strong drafting, negotiation, communication, and analytical abilities.
- Excellent academic credentials.
- Ability to work independently and understand complex agreement relationships.
For positions in California, the salary wage range for this role is $225,000 to $435,000. The base salary or hourly wage will be determined during the interview process and may vary based on experience, expertise, business needs, and market factors. Salary is only one part of the total compensation package, which may include medical, financial, and other benefits (including 401(k) eligibility and various paid time‑off benefits such as vacation, sick time, and parental leave).
The employee will be in an "at‑will" position and the firm reserves the right to modify base salary and other compensation at any time.
