Corporate Counsel (Investments & Fund Operations) SF Bay Area (Hybrid)

A mission-driven climate-focused investment firm is seeking a Corporate Counsel to support investment execution and fund operations. Reporting to the General Counsel, this role will flown closely with the investment team on venture and growth‑stage transactions and help scale legal processes across the firm.

Responsibilities

• Draft, review, and negotiate investment documents including SAFEs, convertible notes, and equity financings

• Support diligence and deal execution, managing timelines and outside counsel as needed

• Assist with structured arrangements (e.g., SPVs, co‑investments, fund‑level financings)

• Provide legal support for fund operations and governance (approvals, entity management, LP‑related matters, side letter support)

• Support portfolio company governance and follow‑on transactions (consents, board matters, financings)

Qualifications

• JD and active bar membership

• 3–6 years of experience in venture/corporate transactions (law firm and/or in‑house)

• Strong familiarity with venture financing terms and documents (SAFEs, notes, priced rounds)

• Excellent judgment, drafting skills, and ability to manage multiple deals in a fastano‑paced environment
