Overview

Counsel, Commercial role tly’s Legal team is seeking a deal lawyer, negotiator and lifelong learner to support all commercial operations. We’re looking for a lawyer who is a trusted advisor, solves problems practically, and contributes to a welcoming, inclusive and supportive environment. The ideal candidate will have strong foundational law firm training, solid in-house enterprise sales experience, experience with privacy and data security issues relevant to SaaS, and an interest in taking on additional responsibilities.

This position is open to candidates based in San Francisco or New York and reports to the Associate General Counsel, Commercial.

What You’ll Do

• Independently draft, review, and negotiate complex master subscription agreements with enterprise customers and work closely with our Sales organization to close revenue deals

• Work with Deal Desk, Compliance, Security, Product and other stakeholders to ensure alignment between contracts, products and operations

• Draft, review, and negotiate other agreements, such as vendor, infrastructure, and channel partner agreements

• Develop and optimize contract playbooks, clause libraries and playbooks to share knowledge and scale the Commercial Legal team

What We’re Looking For

• BA/BS and JD from respected institutions; member of the California, New York or other applicable bar in good standing

• 4+ years of relevant legal experience in a law firm and in-house, with at least 2 years focused on revenue-generating commercial transactions

• Experience drafting and negotiating enterprise cloud, infrastructure and SaaS sales agreements

• Experience supporting a sales organization with a steady volume of commercial transactions in a fast-paced, high-growth environment

• Demonstrated ability to acquire deep product knowledge in the SaaS space

• Ability to work independently and comfortably with colleagues in different offices and locations

• Strong written and verbal communication skills, excellent analytical ability and attention to detail
