Position Summary

Our Business Transactions Group is currently seeking qualified applicants to fill a Mid-Level Business Transactional Associate position. Our firm’s transactional department provides services to clients in the areas of mergers and acquisitions, corporate governance, commercial contracts, and real estate transactions. This role offers the opportunity to work on high-profile matters, collaborate with experienced attorneys, and interact directly with clients. We are looking for a candidate with between two and six years of experience to initially fill a supporting role in transactional matters and to transition to assignments with greater responsibility.

The ideal candidate for this position has a strong work ethic, works with minimal direction and is comfortable working in a fast-paced and dynamic workplace.

Job Duties and Responsibilities

• Draft, review, and negotiate a variety of transactional documents, including purchase agreements, commercial contracts, and financing agreements.
• Conduct comprehensive diligence reviews including analysis of contracts, corporate documents, and other agreements to identify potential risks.
• Assist in the structuring and execution of complex corporate transactions, including mergers, acquisitions, and joint ventures.
• Perform legal research and provide strategic advice to clients on transactional matters.
• Collaborate with internal and external teams to ensure the successful execution of client objectives.
• Manage multiple projects and deadlines with a high level of attention to detail and professionalism.
• Delegate work to paralegals and legal assistants and supervises their work product for accuracy and completeness.

Qualifications and Skills

• Admitted to practice before the California Bar.
• Two to six years’ experience in business and corporate law.
• Excellent reading comprehension, writing, interpersonal and communication skills.
• Strong drafting and negotiation skills.
• Excellent organizational, analytical, and problem-solving abilities.
• Ability to work both independently and as part of a collaborative team.
• Ability to take direction and work independently with little or no supervision.

Salary and Benefits
