Senior Counsel – Products & Platforms EY – Global Legal GCO Technology & Managed Services
Location:
Anywhere in Country EY invites applicants to build a career that is unique, globally connected, and inclusive. The Senior Counsel will advise on technology product and platform agreements, SaaS, AI, cloud, and related commercial matters while collaborating with cross‑functional internal teams.
- Draft, negotiate, and update client‑facing product and platform agreements, advising on contractual strategy and risk.
- Collaborate with US GCO members and local counsel in other EY member firms.
- Work with intellectual property and procurement counsel on product and platform commercialization.
- Coordinate with Data Privacy, Information Security, Independence, Quality, and Tax teams.
- Enhance EY policies and guidance relevant to technology products and platforms.
- Support internal product teams in developing new products and platforms.
- Maintain a working understanding of tools, products, and platforms required for product counsel.
- Manage workflow in a dynamic environment while remaining responsive, reliable, and accountable.
- Provide practical legal advice to internal product teams and business stakeholders.
- Build relationships and team seamlessly with GCO members and Legal Practice Groups.
- Develop and deliver training on product and platform agreements and best practices.
- Continuously learn, contribute, and innovate in a dynamic space.
- 7+ years of relevant technology‑related transactional experience, including drafting and negotiating product and platform agreements.
- Strong background supporting SaaS, software licenses, emerging technologies and go‑to‑market delivery models.
- Experience developing contracting templates, playbooks, and standards.
- Adept at leveraging legal tools and technology to optimize teaming.
- Experience in data privacy, data security, licensing, and intellectual property law.
- Experience with cross‑border contracting (local country agreements and cross‑border data transfer).
- Ability to assess and negotiate terms for current and new technologies (cloud, AI).
- Excellent oral and written communication skills.
- Excellent negotiation and interpersonal skills.

- Ability to work independently and collaborate across functions and geographies.
- Strong analytical skills to articulate complex legal and contractual principles.
- Highly responsive with strong workload management and prioritization.

- Experience leading negotiations in a technology or consulting product counsel role.
- Bachelor’s degree from an accredited 4‑year college.
- Juris Doctor from an accredited law school.
- State Bar admission and good standing, including current CLE requirements.
