Overview

Orrick currently has an excellent opportunity in the Seattle or Portland office for a Public Finance Paralegal.

Working under the supervision of attorneys, Paralegals support the delivery of quality legal services to clients by performing tasks that require accuracy, attention to detail, strong organizational skills, strong written and oral communication skills and computer proficiency. Paralegals are primarily responsible for the coordination of the document flow and activities of the financing team that are to be directed by Orrick in the area of Public Finance.

Responsibilities include facilitating a wide array of tasks, including preparation of initial document drafts, facilitating review of and coordinating responses from Orrick to third‑party documents, coordinating issuer approvals and ensuring that procedural and statutory requirements of governing bodies are met (such as review of and assistance with submission of staff reports, compiling agenda packets, publications, and coordination of meetings), and taking on the management of the transaction mechanics so that attorneys can focus on major legal issues, negotiation of business terms, financing strategy and business development.

We prefer that our Public Finance professionals be physically present in the office at least three days per week.

Responsibilities

Additional responsibilities of a Paralegal include:

  • Preparing and tracking financing schedules.
  • Assisting to maintain consistency of conventions across documents, such as key structuring components, defined terms, authorized signatories, formatting and styles.
  • Coordinating transaction closing schedules, ensuring that signatories are in place and available at the proper times, and ensuring that transaction documents are finalized in preparation for closing.
  • Assisting with the preparation and filing of reports to governmental agencies (such as IRS tax documents, state debt issuance filings and statutorily required filings for ballot measure elections).
  • Basic research and reviewing statutory and administrative procedures.
  • Facilitating the review of borrower organizational and project specific due diligence documentation and transaction materials.
  • Assisting with drafting and fact‑checking issuer and borrower securities disclosure and bond sale materials.
  • Attending and participating in trade conferences and client events periodically.

A Paralegal is expected, once assigned to a transaction, to stay with it from beginning to end. In the case of clients who engage in multiple transactions, a Paralegal may be assigned to all transactions of that client in the future, necessitating that the Paralegal get to know clients and their staff, and be a key resource and focal point for the entire financing team.

In many transactions, a Paralegal will have as much time invested as the primary attorney on the deal.

Qualifications
  • Bachelor’s degree from accredited four‑year institution or equivalent work experience.
  • Excellent organizational and time management skills
  • Extremely detail oriented
  • Strong verbal and written communication skills
  • Computer literacy in a Windows/Office environment
  • Willingness to learn and use AI in connection with the performance of appropriate tasks
  • Transactional experience/background
  • Strong interpersonal and client‑service skills
  • Ability to think proactively and creatively
  • Aptitude to develop specific and detailed knowledge and understanding of complex issues and procedures
  • Ability to work under pressure in a dynamic environment
  • Reliability and flexibility with respect to hours of work to meet transaction demands
  • Ability to travel periodically
  • General familiarity with title and survey review preferred but not required
