Senior Counsel – Products and Platforms

OverviewAs a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide legal advice, counsel, and support for technology products and platforms, including drafting, updating, and negotiating client‑facing software licenses, SaaS agreements, AI, big data, analytics, and cloud computing agreements, while also advising EY technology and product teams from ideation through go‑to‑market.
Key Responsibilities- Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk.
- Collaborate with US GCO members, local counsel, IP counsel, and procurement counsel across EY member firms.
- Coordinate with cross‑functional business and internal support teams (Data Privacy, Information Security, Independence, Quality, and Tax) as needed.
- Enhance and interpret EY policies related to technology products and platforms.
- Support internal product teams in development of new products and platforms.
- Manage workflow in a dynamic environment, maintaining responsiveness, reliability, and accountability.
- Provide practical legal advice in cross‑functional settings and build relationships across GCO.
- Develop and deliver training and knowledge sharing on product and platform agreements.
- Continuously learn and innovate in the technology legal space.
- 7+ years of technology‑related transactional experience in a client‑facing role, drafting and negotiating product and platform agreements.
- Strong background in SaaS, software licenses, emerging technologies, and go‑to‑market delivery models.
- Experience developing contracting templates, playbooks, and standards.
- Proficiency in leveraging legal and collaboration tools to optimize teamwork.
- Experience in data privacy, data security, licensing, and intellectual property law.
- Cross‑border contracting experience, including local country agreements and data transfer.
- Strong communication, negotiation, interpersonal skills and emotional intelligence.
- Ability to work independently and team effectively across functions and geographies.
- Knowledge of cloud, AI, and other current technologies and ability to explain related risks.
- Bachelor’s degree from an accredited 4‑year college; JD from accredited law school;
American bar admission and good standing.
