We are seeking an M&A Tax Director to join our team. The M&A Tax Director will be part of the Advisory team and function as the primary support of Tax M&A. The Director will lead engagements, supported by Partners who will educate, train and promote a great working environment. PKF O'Connor Davies continues to grow its Advisory and Tax practices and the candidate selected will have room for continued advancement and promotion throughout their career.
EssentialDuties
- Direct experience in corporate and private equity tax matters, including research and assessment of complicated federal tax issues involving entity formation, deal structuring, M&A, and contracts
- Lead tax due diligence processes
- Plan, structure, review and negotiate transaction documents including purchase agreements and disclosure schedules
- Model transaction and ancillary scenarios
- Evaluate potential acquisition structures
- Provide tax advice and support to clients and their legal advisors
- Conduct legal research and apply tax law to numbers and modeling
- Keep apprised of issues relevant to the accounting industry as well as federal, state and local tax laws
- Monitor emerging tax issues that could impact clients, such as private equity firms
- Perform special projects assigned
- 10+ years of U.S. corporate income tax experience in a legal capacity, preferably with a major law firm, CPA firm or tax department of a major corporation
- CPA license, J.D. or LL.M. in Taxation preferred
- Experience reviewing documents for corporate governance as well as external contracts
- Excellent analytical and problem‑solving skills
- Strong accounting knowledge and Excel modeling skills
- Strong research skills
- Superior verbal and written communication skills
- Ability to handle multiple projects at one time
- Strong attention to detail
- Ability to work independently and in a fast‑paced and challenging team environment
