RoleSenior Corporate Counsel addresses a broad array of legal matters to support ClearPoint Neuro’s commercial business and related support functions. This role reports to the General Counsel.
Key Responsibilities- Serve as a leader and person of influence at the company, working closely with commercial and operational teams and providing legal guidance to the company’s leadership team.
- Willing to assist with both complex strategic matters and routine or straightforward tasks, as needed to support the organization’s objectives.
- Independently draft, review, and negotiate a wide range of complex business agreements, including but not limited to pharmaceutical commercial supply and development arrangements, research and development arrangements, distribution agreements, software agreements, operational and supply chain agreements, CRO agreements (including for GxP compliant manufacturing), and supply/vendor agreements.
- Develop and maintain contract playbooks and template agreements to streamline commercial processes and reduce negotiation cycles. Train legal team colleagues and business team colleagues on agreement terms and issue identification.
- Cross‑functional support, providing legal guidance for transactions that intersect with quality, regulatory, clinical, and commercial operations across all ClearPoint Neuro business lines.
- Review of promotional materials, marketing strategies, and sales initiatives for compliance with laws, including Anti‑Kickback Statute, False Claims Act, and the Food, Drug, and Cosmetic Act.
- Manage commercial and other disputes, including litigation.
- Proactively manage external counsel supporting business needs.
- ClearPoint Neuro Compliance Committee participant, including providing leadership and governance for oversight of the privacy compliance program.
- Exercise independent judgment and discretion.
- Other duties consistent with the scope and level of this role as necessary for the effective operation of the business.
- Experience and leadership in working alongside business colleagues providing real‑time guidance and advice on commercial matters.
- Ability to independently draft and negotiate complex agreements, including comfort with addressing and advising on provisions related to intellectual property, licensing, and ownership.
- Juris Doctorate (JD) degree and 10+ years of practice as an attorney in a law firm supporting life science/medical device companies and/or experience in‑house with life sciences/medical device companies.
- An active license to practice law in any state.
- Demonstrated willingness to learn new subject matter and take the lead in addressing emerging issues as the business evolves.
- Hands‑on and proactive, with ownership mindset and bias towards action, while balancing legal judgment and risk awareness.
- Unwavering commitment to integrity, honesty, transparency, and compliance.
- Privacy compliance program.
- Review of medical device promotional and marketing materials.
- Healthcare compliance matters, including Anti‑Kickback Law considerations.
$190,000 – $250,000 annually. Base salary plus annual bonus and RSUs. Bonus and equity eligible.
