EY is seeking an experienced Senior Counsel to support EY’s technology and managed services legal group.

As a Senior Counsel on the GCO Technology and Managed Services team, you will advise EY clients on technology products and platforms, with a particular focus on SaaS, AI, big data, analytics, and cloud computing agreements. You will also provide internal legal advice to EY’s technology and product teams from ideation to go‑to‑market.

• Draft and negotiate client‑facing product and platform agreements, including SaaS, AI, and cloud contracts.
• Collaborate with US GCO members, local counsel in other EY member firms, and cross‑functional teams (Data Privacy, Information Security, Quality, Tax).
• Work with intellectual property counsel and procurement counsel on product and platform commercialization.
• Contribute to the development of product supporting policies and guidance within EY.
• Support internal product teams in creating new products and platforms.
• Maintain a working knowledge of all tools, products, and platforms required to provide effective product counsel.
• Manage workflow in a dynamic environment, ensuring responsiveness, reliability, communication, and accountability to leadership.
• Provide practicable legal advice in cross‑functional settings.
• Build relationships and team seamlessly with GCO and Legal Practice Groups to deliver exceptional legal service to internal stakeholders.
• Develop and deliver training on product and platform agreements, knowledge sharing, and best practice across the legal network.
• Continuously learn, contribute, and innovate in a dynamic space.

• 7+ years of technology‑related transactional experience in a client‑facing capacity, including product and platform agreements.
• Strong background in SaaS, software licenses, emerging technologies, and go‑to‑market delivery models.
• Experience developing contracting templates, playbooks, and standards.
• Proficiency with legal and collaboration tools to optimize teamwork.
• Experience in data privacy, data security, licensing, and intellectual property law.
• Experience with cross‑border contracting and data transfer.
• Ability to understand, assess, and negotiate terms for current and new technologies, including cloud and AI.
• Excellent written and oral communication, negotiation, and interpersonal skills.
• High cultural and emotional intelligence, resilience, flexibility, and adaptability.
• Ability to work independently and team effectively with colleagues in other functions and geographic locations.
• Juris Doctor, accredited bar membership, good standing with the applicable State Bar, and all required CLE.
• Bachelor’s degree from an accredited 4‑year college.
