About the Role

Our client, a leading financial institution in Stellenbosch, is seeking a highly competent Corporate Finance Lawyer to bolster its legal department. This role is essential for providing expert legal support on a variety of complex financial transactions, including capital markets, corporate lending, and mergers and acquisitions. You will work closely with deal teams, advise on regulatory compliance, and draft critical transaction documents, playing a vital role in facilitating significant financial deals within the South African financial sector and ensuring adherence to the highest legal and ethical standards.

• Advise on legal aspects of corporate finance transactions, including debt and equity offerings, and syndicated loans.
• Draft, review, and negotiate financing agreements, security documents, and related legal instruments.
• Ensure compliance with financial regulations, including those from the JSE, SARB, and FSCA.
• Conduct legal due diligence for financing and acquisition transactions.
• Manage relationships with external counsel and regulatory bodies.

• Admitted Attorney with 7+ years of experience in corporate finance law, capital markets, or banking law.
• Proven expertise in structuring and executing complex financial transactions.
• Thorough understanding of South African financial services regulations and corporate governance.
• Exceptional drafting, negotiation, and analytical skills.
• Ability to work under pressure and manage multiple high-stakes projects concurrently.
