Our General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY’s service lines and business enablement functions.
The OpportunityAs an Assistant General Counsel for Technology and Managed Services you will provide advice, counsel, and legal support for the provision of managed services and other technology services and products to EY clients. The role focuses on advising, drafting, updating and negotiating client‑facing, complex, multi‑year managed services, outsourcing, systems implementation, application development & maintenance, software licenses and software‑as‑a‑service agreements, artificial intelligence, big data, analytics and cloud computing.
You will work closely with other GCO groups in the United States and other jurisdictions.
Key Responsibilities
- Draft, update and negotiate client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk, and keeping current with relevant legal developments
- Advise on key legal risks associated with the technology underpinning Managed Services Agreements
- Collaborate closely with other members of the US GCO and local counsel in other EY member firms
- Coordinate legal resources on managed services projects
- Support coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security and Tax) as necessary
- Ensure contractual documentation accurately protects EY interests
- Understand existing EY policies and develop/enhance policies and guidance relevant to managed services and other technology services and products
- Manage workflow in a highly dynamic environment, remaining responsive, reliable, communicative and accountable to team leadership and other GCO members
- Build relationships and team seamlessly with other GCO members within the Legal Practice Groups to deliver exceptional service to GCO clients
- Develop and deliver training on Technology & Managed Services Agreements, knowledge sharing and best practice across the legal network, and business where requested
- 8+ years of complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and leading negotiation of Technology & Managed Services Agreements
- Experience negotiating across client’s internal counsel, outside law firms and procurement
- Experience developing contracting templates, playbooks and standards
- Experience in data privacy, intellectual property law and the use and provision of technology in the context of Technology & Managed Services Agreements
- Experience with cross‑border contracting (including employee matters such as auto‑transfer laws, local country agreements and cross‑border data transfer)
- Ability to understand, assess and negotiate terms for current and new technologies (including cloud and AI) and explain related legal and business risks in a practical manner
- Excellent oral and written communication skills
- Excellent negotiation and interpersonal skills
- High degree of cultural and emotional intelligence, resilience, flexibility and ability to adapt to changing circumstances
- Ability to work independently and effectively with colleagues in other functions and geographic locations
- Ability to articulate and document complex legal and contractual principles, balancing risk from both a legal and commercial perspective
- Highly responsive with ability to manage high workload volumes and competing priorities efficiently
- Solution oriented with focus on exceptional client service
- Experience in a managed services counsel role in a technology or consulting organization with leading negotiations
