Opportunity

As Counsel for Technology and Managed Services, you will provide advice, counsel, and legal support for the provision of managed services and other technology services and products to EY clients, focusing on advising, drafting, updating, and negotiating legal terms and conditions for complex, multi‑year managed services, outsourcing, systems implementation, application development & maintenance, software licenses and software‑as‑a‑service agreements, AI, big data, analytics, cloud computing, and more.

You will be part of EY’s Technology and Managed Services legal group, working closely with other GCO groups in the US and other jurisdictions, supporting senior team members.

Key Responsibilities
  • Drafting, updating, and negotiating client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk, and keeping up‑to‑date with legal developments
  • Advising on key legal risks associated with technology underpinning Managed Services Agreements
  • Collaborating closely with US GCO members and local counsel in other EY member firms
  • Coordinating legal resources on managed services projects
  • Supporting coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as needed for Agreements
  • Ensuring contractual documentation protects EY interests
  • Understanding existing EY policies and enhancing policies and guidance relevant to managed services and other technology services
  • Managing workflow in a dynamic environment while remaining responsive, reliable, communicative, and accountable
  • Building relationships and teaming with GCO and Legal Practice Groups to deliver exceptional service to GCO clients
  • Developing and delivering training on Technology & Managed Services Agreements and best practices
To Qualify
  • 4+ years of complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and negotiating Technology & Managed Services Agreements
  • Experience developing contracting templates, playbooks, and standards
  • Experience with data privacy, intellectual property law, and technology provision in the context of Agreements
  • Experience with cross‑border contracting (e.g., local country agreements, cross‑border data transfer)
  • Ability to understand, assess, and negotiate terms for current and new technologies (cloud, AI) and explain related legal and business risks
  • Excellent oral and written communication skills
  • Excellent negotiation and interpersonal skills
  • High cultural and emotional intelligence, resilience, flexibility, and adaptability
  • Ability to work independently and collaborate with colleagues across functions and locations
  • Strong grasp of complex legal principles and balancing legal and commercial risk
  • Highly responsive with ability to manage high workload volumes and competing priorities
  • Solution oriented with a focus on client service
  • Managed services counsel experience in a technology or consulting organization, leading negotiations
  • Bachelor’s degree from an accredited 4‑year college
  • Juris Doctor from an accredited law school
  • Membership in a State Bar with current standing and continuing legal education
