Our client, a respected professional services organization, is seeking a Corporate Transactions Paralegal to support attorneys handling complex corporate and regulatory matters.

• Prepare, review, and submit corporate formation, governance, and compliance documents for domestic and foreign entities
• Coordinate filings and approvals with federal, state, and local agencies, including licensing and tax‑related submissions
• Assist with all phases of mergers, acquisitions, and reorganizations, including due diligence support, lien and UCC searches, and document collection
• Organize and manage transaction workflows, including execution logistics, signature coordination, and post‑closing follow‑up
• Maintain detailed transaction trackers and ensure timely completion of assigned tasks and deliverables
• Manage corporate records such as minute books, ownership records, annual reports, and compliance calendars
• Conduct legal and regulatory research and prepare concise summaries for attorney review

• Bachelor’s degree, paralegal certification, or equivalent professional experience
• Minimum of three (3) years of experience supporting corporate transactions in a law firm or professional services setting
• Strong working knowledge of entity management, corporate governance, and transactional processes
