Senior Legal Counsel

We are seeking a Senior Legal Counsel to join our Legal & Compliance team, who will serve as a strategic advisor to our leadership team on legal matters spanning corporate governance, regulatory risk, and cross-border transactions.

Corporate Governance, Employment, and Compliance

• Oversee all corporate secretarial duties including board resolutions, shareholder meetings, and SEC filings across our global entity structure.
• Lead legal compliance initiatives on corporate governance, labor law, anti-bribery, and workplace ethics
• Advise on employment law across multiple jurisdictions, including contracts, investigations, and terminations.
• Address workplace legal risks including discrimination, harassment, and safety issues.

Regulatory Risk, M&A, and Cross-Border Transactions

• Interpret and monitor changes in local and international laws that impact corporate, labor, and investment operations.
• Advise on legal aspects of M&A deals, corporate restructures, due diligence, and investment negotiations.
• Draft and review commercial agreements, shareholder contracts, and technology licensing deals.
• Ensure compliance with foreign investment and cross-border regulatory requirements.

Legal Strategy, Stakeholder Engagement & Counsel Management

• Partner with the CEO, board, HR, Finance, and Operations to embed legal strategy into business decisions.
• Lead legal risk assessments and develop internal policies to mitigate regulatory exposure.
• Manage external counsel across complex matters involving corporate, labor, and M&A law.

• Education:
  
  Juris Doctor or equivalent from an accredited institution; bar admission in relevant jurisdiction.
• Experience:
  
  10+ years in legal practice, with 5+ years in senior or advisory capacity.
• Expertise:
  Strong track record in corporate governance, regulatory compliance, labor law, and commercial contracts.
• Specialization: M&A, international business law, and corporate secretarial functions in holding company setups.
• Skills:
  
  Expert negotiator, strategic thinker, and legal risk manager with high business acumen.
• Bonus:
  Familiarity with SaaS agreements, technology licensing, and IP.
