Corporate Attorney

Beacon Hill Legal is seeking a Georgia‑licensed Corporate Attorney for a hybrid, temporary opportunity in Atlanta, GA. This role will function on an “as‑needed” basis, with weekly hours ranging from 20‑40 per week depending on team needs.

$70.00/hr – $78.00/hr

• Draft, review, and negotiate a wide range of commercial agreements, including vendor, client, licensing, and partnership contracts.
• Advise on corporate governance, entity formation, compliance, and risk management.
• Support mergers, acquisitions, joint ventures, and other strategic transactions, including due diligence and deal execution.
• Provide counsel on regulatory and contractual issues impacting the company's business operations.
• Manage and protect the company's IP portfolio, including patents, trademarks, copyrights, and trade secrets.
• Oversee IP filings, registrations, renewals, and enforcement matters domestically and internationally.
• Conduct IP due diligence for transactions and advise on ownership, licensing, and technology transfer issues.
• Draft and negotiate IP‑related agreements such as licensing, confidentiality, and joint development contracts.
