About The Role

This role is responsible for the overall management of the company’s legal department, including but not limited to acquisitions, financing, development, construction, leasing, operations, joint‑venture arrangements, corporate governance, and risk mitigation. The General Counsel will oversee and manage all Weston Inc. legal matters, including litigation and collection matters and those handled by outside counsel.

Responsibilities
  • Accountable for all legal aspects of the company’s real‑estate, construction, development, leasing, acquisition, and disposition activities, joint ventures, mergers and acquisitions; creation and administration of partnerships and syndications.
  • Responsible for the entire commercial real‑estate acquisitions process, including drafting and negotiating letters of intent and purchase agreements, managing due diligence, and closing transactions.
  • Responsible for all commercial financing transactions, including commitment and term‑sheet negotiation, due diligence, public incentive documentation, loan documentation negotiation, and closing.
  • Draft and negotiate all lease agreements with commercial tenants, including renewals, extensions, and expansion documents, in partnership with the in‑house leasing department.
  • Advise ownership, senior management, and business executives on risk management, regulatory compliance, operational and strategic issues, and a wide variety of other legal matters.
  • Strategize, draft, and implement policies and procedures to mitigate corporate risk exposure and streamline operations.
  • Periodically review and update the company’s legal templates.
  • Review and opine on title commitments, surveys, and all closing documents.
  • Prepare documentation for real‑estate property‑tax appeals and support outside counsel handling the same.
  • Oversee all corporate governance activities, including maintaining current corporate record books, drafting resolutions and meeting minutes, filing with state authorities, forming new single‑purpose entities, and merging or dissolving entities no longer needed; store all documents on the company intranet.
  • Select, retain, and supervise outside counsel and in‑house legal support, and negotiate retainers with third‑party vendors such as title companies, surveyors, environmental firms, and other legal service providers.
  • Negotiate, draft, and review all other contracts, including those related to environmental matters, easements, rights‑of‑way, state and local development plans, mechanics’ liens, and construction or development agreements.
  • Assist and facilitate the drafting, negotiation, and documentation of private placement memorandums, equity raises, and associated offering memorandums.
  • Manage the 1031 exchange process.
  • Maintain and update the corporate structure through the Entity Keeper system.
  • Manage all collection litigations.
  • Perform other duties as assigned.
