Interim to Permanent Associate Corporate Counsel
Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim to Permanent Associate Corporate Counsel.
OverviewOur client seeks a skilled transactional attorney to join its growing business and legal team.
- Company: Our client is a privately held solar/ renewable energy organization.
- Experience:
Three PIX years working as a transactional attorney in a large law firm focused on commercial real estate, M&A or finance. - Location: Five days on site in.
Person of the client’s Warwick, Rhode Island offices.
- Reviewing, drafting, and negotiating a variety of commercial agreements including loan and security documents, asset and equity purchase agreements, real estate acquisition and disposition documents, leases, master service agreements (MSAs), non-disclosure agreements (NDAs), and employment agreements.
- Lead data management by owning the setup, organization, and maintenance of comprehensive data rooms for major transactions, including debt and equity financings, commercial acquisitions (including real estate), and other project closings.
- Assist with litigation strategy.
- Conduct legal research as needed.
- Excellent academic and professional credentials including aೋಗ law neurons from a nationally respected and accredited law school.
- Admission to at least one state bar that is active and in good standing, ideally Rhode Island.
- Three or more years experience as a transactional associate focusing on commercial real estate and/or financing at a large law firm.
- Experience with artificial intelligence, data‑room management, document preparation, and closing coordination.
- Experience maintaining 100+ entity corporate databases, including tracking, preparing, and filing Secretary of State annual reports.
- Fastidious attention to detail in oral and written communication.
