Associate General Counsel – Impact Finance

U.S. Bank is seeking an experienced attorney to lead legal support for U.S. Bancorp Impact Finance (IF), aligning resources and competencies to optimize efficiency and support business growth. The role combines deep legal expertise with strategic leadership to enhance delivery across IF’s key product areas:
Affordable Housing, Community Finance Solutions, Environmental Finance, and Tax Credit Syndications.

Job Description

• Serve as trusted advisor to IF leadership; provide clear, pragmatic legal guidance across complex transactions and litigation.

• Manage outside counsel engagement and collaborative oversight of transaction structures, workout, and foreclosure matters.

• Translate complex legal concepts into business‑readable guidance for a diverse investment portfolio.

• Build and cultivate relationships within the bank, with regulatory bodies, and external industry groups.

• Support process‑improvement initiatives to streamline legal functions and maintain compliance with state and federal laws.

• Drive inclusion and talent development within the team.

Basic Qualifications

• Licensed in good standing with an appropriate state bar association or equivalent.

Preferred Skills and Experience

• 12+ years in in‑house, financial institution, or structured finance law.

• Experience documenting and negotiating tax‑credit and structured finance transactions.

• Expertise in state and federal tax‑credit regulations and commercial lending laws.

• Knowledge of the regulatory environment for community development or sustainable finance activities.

• Proven management of outside counsel and legal budgets.

• Strong leadership, process‑improvement, and communication skills.

• Ability to influence across legal and business teams and external groups.

• Detail‑oriented, proactive, self‑directed team player.

• Curiosity about the bank’s business and operations.

• Experience developing new products/services in a highly regulatory environment.

Location Expectations

This role requires working from a U.S. Bank location three (3) or more days per week.
