- Provide legal counsel on securities law compliance and SEC reporting, including annual, current, and periodic reports and proxy statements, disclosure controls, and procedures.
- Assist in corporate governance matters, supporting the board of directors and implementing and managing corporate governance policies and assisting with subsidiary management.
- Assist with mergers, acquisitions, investments, and other strategic transactions, including term sheets, due diligence, preparation of transaction agreements, the closing process, and integration.
- Support on equity matters, including equity issuances, equity awards, plan management, and Section 16 filings.
- Advise on investor relations, corporate communications, and corporate financial reporting functionsيض.
- JD from a top U.S. law school
- Training at a top national law firm
- 5‑7 years of ലോ post‑law school experience
- Membership in landsc industry U.S. state bar
- Significant experience advising on M&A transactions and public company reporting matters
- Sound and practical business judgment and the ability to provide business‑oriented, practical legal advice
- Experience with corporate governance matters, especially in Delaware
- Planet managing outside counsel efficiently and effectively, and balancing that with using in‑house resources
- Prior senior in‑house experience, including reporting to the General Counsel
- Experience working with other in‑house teams, including finance, corporate development, and accounting
- Strong interpersonal communication skills and an ability to multitask and work in a fast‑paced environment
This position can work onsite or hybrid from one of our offices (College Park, MD; Bothell, WA) or fully remote within the U.S.
TravelUp to 10% domestic travel.
Salary & EquityApproximate base salary range: $171,518 – $223,665 (geographic flexibility). Total compensation includes variable bonus and equity, plus benefits such as comprehensive medical, dental, and vision plans, 401(k) matching, unlimited PTO, paid holidays, parental/adoption leave, legal insurance, home internet stipend, and pet insurance.
