The Associate General Counsel is a key business partner and reports directly to the General Counsel. The successful candidate will help accelerate Elemica’s success by providing practical, creative, thoughtful, and timely answers to key legal questions. The Associate General Counsel will provide strategic oversight for all of Elemica’s legal requirements. Elemica is specifically looking for a strategic, commercially minded, thought‑leader who will work side‑by‑side with the General Counsel and business leaders to drive growth while also contributing to our global commitment to supply chain technology and innovation.
The ideal candidate will have SaaS knowledge and the ability to drive vision and purpose by painting a compelling picture of the vision and strategy that motivates others to action. This is an exciting time for Elemica as the company remains positioned for continued growth.
- Assist the General Counsel with managing the company’s legal risk in various areas of law (including contracts, mergers and acquisitions, employment law, real estate, intellectual property, immigration, finance, corporate, and others)
- Provide legal assistance in drafting and negotiating legal documents of all types
- Draft, negotiate, review, analyze, and interpret customer (SaaS), vendor, and partner contracts including MSA’s, Data Processing Addendums, Orders, and SOWs
- Collaborate closely with Sales and Professional Services on customer deals
- Collaborate closely with HR on labor and employment matters
- Manage outside counsel and coordinate internal requirements in connection with legal matters
- Manage intellectual property matters (patents, trademarks, trade secrets, etc.)
- Manage the data privacy compliance program including compliance with GDPR, CCPA, and other relevant regulations
- Assist with international matters, including employment, corporate, and privacy
- Assist with establishment of initiatives for contracts function, including contracting tools and processes, legal language library, reference materials, and playbooks
- Study and interpret laws, court decisions, ordinances, and other legal authorities, as needed, to deliver the foregoing services
- Render legal advice to the General Counsel, including significant collaboration with other functions including Finance, HR, Product, Engineering, and Professional Services
- An active law license in Pennsylvania
- 5-7 years of in‑house or firm experience is required
- Experience in drafting and negotiating SaaS agreements is required
