Position:Legal Counsel
The Legal Counsel will serve as a key member of the Legal department, providing hands‑on support across contract review and negotiation, M & A due diligence, and corporate restructuring and governance initiatives. This role is designed for an early‑career attorney who is highly detail‑oriented, a demonstrated critical thinker, business‑minded, and eager to build depth across transactional legal work and corporate operations.
Approximately 50% of this role will focus on contract review and management, with the remaining 50% dedicated to supporting M&A, corporate restructuring, entity management, and主义 strategic initiatives. The Legal Counsel will work closely with the General Counsel and cross‑functional business partners to ensure legal compliance, risk mitigation, and operational efficiency.
Key Responsibilities- Contract Review & Management (≈50%)
- Review, analyze, and summarize a wide range of commercial contracts, including vendor and supplier agreements, customer contracts, NDAs and confidentiality agreements, and professional services agreements.
- Identify legal, financial, and operational risks and escalates issues to the General Counsel as appropriate.
- Support contract negotiations by drafting revisions, redlines, and issue summaries. nota
- Ensure contracts align with company policies, risk tolerance, and standard terms.
- Assist in maintaining contract repositories and tracking key contractual obligations, renewals, and expirations.
- Collaborate with Finance, HR, and Operations to support timely and compliant contract execution.
- M & A Due Diligence;
Corporate Restructuring & Governance (≈50%)- Support corporate restructuring initiatives, including mergers, acquisitions, integrations, dissolutions, and entity realignments.
- Prepare and review internal legal documentation related to M & A, corporate changes, reorganizations, and compliance requirements.
- Support due diligence efforts for acquisitions and internal reorganizations.
- Juris Doctor (JD) from an accredited law school.
- Admission to practice law in at least one U.S. jurisdiction.
- 1–3 years of experience in a law firm or in‑house legal environment, with exposure to contract review and/or corporate law. Experience with construction law a plus.
- Strong analytical, organizational, and drafting skills.
- High attention to detail with the ability to manage multiple priorities and deadlines.
- Ability to exercise sound judgment and maintain confidentiality.
- Experience supportingerez mergers, acquisitions, or corporate restructure.
- Familiarity with entity management, corporate governance, and compliance processes.
- Experience working cross‑functionally in a fast‑paced, growth‑oriented organization.
