Corporate Finance Associate Attorney (2nd–4th Year) – Dallas

An elite corporate finance team in Dallas is seeking a talented 2nd–4th year Corporate Finance Associate to join a fast-paced, sophisticated practice handling complex domestic and cross-border transactions. This is an exceptional opportunity for an associate who wants meaningful responsibility, direct client exposure, and the chance to sharpen deal management skills within a highly collaborative environment.

The Role

You will work on a wide range of high-value financing matters, representing administrative agents, lenders, and borrowers in:

  • Club and broadly syndicated credit facilities
  • Acquisition financings
  • Private credit transactions

The position involves substantial responsibility for drafting and negotiating key deal documents, including credit agreements, commitment letters, term sheets, security and intercreditor agreements, subordination agreements, and full closing sets (certificates, resolutions, legal opinions, schedules, and exhibits). Associates are encouraged to take ownership of work streams and play an active role in client communications.

What Sets This Opportunity Apart
  • Exposure to sophisticated, market-leading finance transactions
  • Strong deal flow with opportunities to work closely with senior attorneys and clients
  • A team culture that values initiative, precision, and collaboration
  • Clear runway for professional growth and increasing responsibility

Experience advising private equity sponsors and portfolio companies is advantageous but not required.

Ideal Candidate Profile
  • JD from an accredited law school
  • Prior experience practicing at a law firm
  • 2–4 years of corporate finance experience
  • Strong drafting and negotiation skills
  • Organized, proactive, and team-oriented mindset
  • Admission to at least one U.S. state bar (Texas admission is a plus)

This role is well-suited for an associate who wants to be deeply involved in transactions, trusted with meaningful responsibility, and supported by a high-caliber team committed to excellence.
