The General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY’s service lines and business enablement functions.

Your Opportunity

As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide advice, counsel, and legal support for technology products and platforms offered to EY clients. Focus areas include client-facing software licenses, software-as-a-service (SaaS) agreements, artificial intelligence, big data, analytics and cloud computing. You will also provide internal legal support to EY technology and product teams from ideation to go-to-market.

You will be part of EY’s Technology and Managed Services legal group and work closely with other GCO groups in the United States and other jurisdictions. The role is fast-paced, high-volume and requires experience in a supplier-side technology transactional environment with strong knowledge of SaaS and current technologies.

Key Responsibilities
  • Draft and negotiate client-facing product and platform agreements, advise on contractual strategy and risk, and stay current with relevant legal developments.
  • Collaborate with US GCO and local counsel in EY member firms; collaborate with IP and procurement counsel on product/platform development and commercialization.
  • Coordinate with cross-functional teams (Data Privacy, Information Security, Independence, Quality and Tax) as necessary.
  • Understand EY policies and help enhance policies and guidance relevant to technology products and platforms.
  • Support internal product teams in the development of new products and platforms; gain understanding of tools and platforms to provide effective product counsel.
  • Manage workflow in a dynamic environment, maintain responsiveness and accountability to team leadership and stakeholders.
  • Provide practical legal advice in cross-functional settings to internal product teams and business stakeholders and build strong relationships across GCO.
  • Develop and deliver training on product and platform agreements, knowledge sharing and best practices across the legal network and business where appropriate.
  • Continually learn, contribute and innovate in a dynamic space.
Qualifications
  • 7+ years of relevant technology-related transactional experience in a client-facing capacity, including drafting and negotiation of product and platform agreements.
  • Strong background in supporting SaaS, software licenses, emerging technologies and varied go-to-market models.
  • Experience developing contracting templates, playbooks and standards.
  • Adept at leveraging legal and collaboration tools to optimize teamwork.
  • Experience in data privacy, data security, licensing, and intellectual property law; cross-border contracting experience.
  • Ability to understand, assess and negotiate terms for current and new technologies (including cloud and AI) and articulate legal and business risks practically.
  • Excellent communication, negotiation and interpersonal skills; high cultural and emotional intelligence; adaptable and resilient.
  • Ability to work independently and with colleagues in other functions and locations; ability to document complex legal principles and balance risk with commercial considerations.
  • Highly responsive with the ability to manage high workload and competing priorities; solution-oriented with a focus on exceptional client service.
  • Experience in a product counsel role in a technology or consulting organization with leadership in negotiations.
  • Bachelor’s degree from an accredited 4-year college;
    Juris Doctor from an accredited law school; active membership in a State Bar; good standing with required CLE.
